TERMS AND CONDITIONS OF WEBSITE USE

This Agreement Affects Your Legal Rights in Using This Web site
and in obtaining services from HRP

Please read this carefully before you begin.

1. Your Agreement to these Terms and Conditions.

a. Welcome to HUMAN RESOURCES PLUS! The www.hrplusinc.com Web site is owned and maintained by Human Resources Plus, Inc., (“HRP”) for the benefit of our customers, affiliates and other visitors. The terms and conditions set forth below in this Agreement govern your use of the Web site and your purchase of goods and services that are provided by HRP. Please read this Agreement carefully before entering or using the Web site.

b. You may visit this Web site at any time without obligation, but certain portions of this Web site are restricted to access and use only by members or affiliates of HRP who have registered with us and have satisfied additional requirements and provisions. You will be required to signify your consent to these terms in order to register and take advantage of the goods and services that we offer, and in all cases if you proceed to use the Web site, you will be legally bound by these terms and conditions even if you have decided not to read them. If you do not want to abide by this Agreement, please exit the Web site. If you have questions about any part of this Agreement please contact HRP at info@hrplusinc.com.

c. HRP may add to, change or remove any part of this Agreement at any time, and we will post a notification of such changes on the Web site. Any changes to this Agreement apply as soon as they are posted and you have been notified. By continuing to use this Web site after you have been notified of changes in these Terms of Use, you are indicating your acceptance of those changes. HRP may add, change, discontinue, remove or suspend any other content posted on this Web site, including features and specifications of products or services described or depicted on the Web site, temporarily or permanently, at any time, without notice and for any reason.

d. You agree that HRP may discontinue your access to this Web site at any time, without notice, if it determines, in its sole discretion, that you have violated any term or provision of this Agreement or if ordered to do so by legal process.


2. Member Registration Procedure; Annual Term; Termination.

To apply to become a member of HRP website, please go to the "Join Now” page on this Web site, fill out all information fields in the registration form and submit the application. Once your paid membership application is approved, you will be granted access to membership enabling you access to HRP Member Web site and purchase products and services from HRP and others (“Services”). HRP reserves the right to refuse membership applications and to limit, withhold and restrict availability of Services to a member at any time, for any reason, in its sole discretion. All memberships are furnished on an annual basis, and will automatically renew for successive one year terms. You will be charged for each renewal term thirty (30) days prior to the commencement of that term, based on then current rates. If you do not wish to renew a membership, you must notify HRP of your election at least thirty (30) days prior to the end of the existing term by sending a letter of cancellation on company letterhead, signed by an authorized company representative, to info@hrplusinc.com.

3. Member Services.

HRP will provide the Member Services set forth on this Web site and as designated and paid for by Member in accordance with HRP’s standard policies. In most cases, Member Services are available immediately by accessing the appropriate Web site directories. In cases where a Member requires goods or services not directly available from the Web site, the following provisions will apply:

a. Processing of Orders.

Orders of Services will be processed as soon as reasonably practical, given availability of staff and materials, and are subject to verification of payment and account standing. If there is any problem with your order we will contact you promptly. Orders placed with third parties are not the responsibility of HRP and are subject to the terms and conditions set forth by such third party. Please ensure that you read the third party's terms and conditions prior to ordering goods or services from them.

b. Methods of Payment.

HRP will accept payments on Discover, MasterCard and Visa. No other form of payment is authorized unless separate arrangements have been made with HRP.

c. Accuracy of information.

You must ensure that all information provided on registration and order forms is accurate and complete.

d. Additional Products and Services.

HRP also offers additional products and services to members, including handbook preparation, outsourcing services, revisions to policies and procedures, consultation, drafting, and other specialized services. These services are available for an additional charge and must be separately arranged with an HRP staff member. Information about initiating this process is found on the HRP Web site.

4. Legal Assistance.

Effective management of human resources in your business requires careful attention to laws and regulations governing the rights and obligations of employers and employees. HRP is dedicated to providing affordable, accurate and timely assistance to help you meet your human resources needs, and to help you stay informed of current developments. HRP does not, however, provide legal advice or counseling. The laws in this area change often, and they differ from state to state, and sometimes differ even among local jurisdictions within states. Except as provided in this Agreement, you are not permitted to reproduce, download, distribute, transfer, modify, translate, create derivative works from, or other exploit or use any such content for any purpose.

b. By becoming a member of HRP, you are granted a personal, nonexclusive, nontransferable, revocable, license to download or print hard copy specimens of materials furnished on this Web site, solely for the purpose of using such content in the course of management and operation of your business. Under no circumstances are you permitted to sublicense, resell, rent, lease or otherwise furnish any HRP Web site content, forms or information to an unrelated third party or for any purpose not directly related to the conduct of your business, or to utilize or share your membership privileges for the operation of a service bureau, or to otherwise permit any third party to utilize or take advantage of membership privileges, or create any systematic downloaded database of Web site content.

c. HRP, HUMAN RESOURCES PLUS, and all other associated logos and material identifying our company, are trademarks of HRP. All other trademarks or service marks are property of their respective owners. The use of any such trademark or service mark without the owner’s written consent is strictly prohibited.


6. Materials that you or other users furnish or post on the Web site.

a. If you or other users send any communications or materials of any kind to or through the Web site, by electronic mail or otherwise, including any comments, data, questions, suggestions or the like, all such communications are, and will be considered to be non-confidential and available for any purpose to HRP or any other party having access to such material. This means that you will forever give up any claim that any use, analysis, modification, reproduction or exploitation of such material violates any copyrights, trade secret rights, property rights, publicity rights, moral rights, financial rights, privacy rights, rights to credit for material or ideas, or any other right with respect to such material.

b. Any material submitted to this Web site may be freely adapted, broadcast, changed, copied, disclosed, licensed, performed, posted, published, sold, transmitted or used by HRP anywhere in the world, in any medium, forever. c. Although HRP may from time to time monitor or review bulletin boards, chat rooms, discussions, postings, transmissions and the like on the Web site, HRP is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such communications or for any defamation, error, inaccuracy, libel, obscenity or profanity contained in any such communication. HRP may change, edit, or remove any user material or conversations that are illegal, indecent, obscene or offensive, or that violates HRP’S policies in any way. HRP will fully cooperate with any law enforcement authorities or court order requesting or directing HRP to disclose the identity of anyone posting such materials.


7. Prohibited uses of the Web site.

a. You may not interfere with anyone else’s use of this Web site, and may not use the Web site for the purpose of harassment, solicitation or advertising of a Member’s goods or services or those of a third party, posting of offensive, obscene or unauthorized materials, or any other use not directly related to HRP Services.

b. You may not use this Web site to transmit or implant any virus or other form of computer program or device intended to disrupt, sabotage, impair or otherwise damage or cripple any data, computer or computer system.

c. You may not use this Web site for the purpose of gaining any unauthorized access to any data, computer or computer system.

d. You may not use this Web site for the purpose of conducting any illegal activity, or engaging in any infringement of the intellectual property rights of a third party


8. Your privacy.

HRP recognizes the importance of your privacy and the privacy of others, and has adopted a Privacy Policy regarding the protection of such rights when you visit or use the Web site. You are encouraged to review HRP’S Privacy Policy to assure that you understand the measures HRP will and will not take to protect your privacy when you visit the Web site.


9. Links to other web sites.

This Web site may contain links to other sites on the Internet. HRP provides such links for your convenience only, and is not responsible for the content of any web site linked to or accessible from this Web site. Links from this Web site to any other web site do not mean that HRP approves of, endorses, recommends or has any affiliation whatsoever with any other web site. HRP disclaims all warranties, express or implied, as to the accuracy, legality, reliability or validity of any content on any other site.


10. Disclaimer of warranties and limits on HRP’s liability.

HRP does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Web site or any hyperlinked Web site or featured in any banner or other advertising. b. Product and service warranty. The information and materials furnished or sold over this Web site are sold as-is, and HRP disclaims all warranties of merchantability and fitness for a particular purpose. c. United States Laws apply. 11. Your obligation to indemnify HRP.

You agree to indemnify, defend and hold HRP and all of its agents, directors, employees, information providers, licensors and licensees, officers and parent companies harmless from and against any and all liability and costs (including, without limitation, attorneys' fees and costs), incurred in connection with any claim from a third party arising out of: (i) any breach by you of this Agreement; or (ii) any act or omission taken, or any material, form or document used, based on content obtained from the Web site. HRP will cooperate as fully as reasonably required in your defense of such claim. HRP reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of HRP.


12. General provisions relating to this Agreement.

The terms set forth above constitute the entire agreement between HRP and you with respect to your use of this Web site, unless otherwise agreed in writing, and supercede all other agreements, statements or understandings. Any legal claim you may have against HRP with respect to your use of this Web site must be commenced within one year after the claim arises. If for any reason a court of competent jurisdiction finds any provision of this Agreement to be unenforceable, that provision, as well as the remainder of the agreement, shall be enforced to the maximum extent possible so as to carry out the intent of this Agreement. In any legal action to enforce or interpret this Agreement, the prevailing party in such action shall recover attorneys fees and costs. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, and is made and partially performed within the State of Colorado. You agree that venue for all legal disputes relating to the interpretation or enforcement of this Agreement shall be exclusively vested in the state or federal courts located in Denver, Colorado, and you submit to the exercise of in personam jurisdiction by such courts for all such legal action.
